Terms of Service
Last updated October 27, 2026[email protected]
1. About these terms
These terms are an agreement between you and [Company name pending registration], CVR no. [pending], [Registered address pending], Denmark ("Kogniv", "we", "us"). They cover your use of Kai: the Kai apps, the Kai service behind them and the kogniv.net website.
By creating an account or using Kai, you accept these terms. Our Privacy Policy explains how we handle your personal data. If you don't agree, don't use Kai.
2. The service
Kai is a personal AI assistant. You chat with Kai and with Agents you create. Agents remember context across conversations and devices, run Routines on a schedule, and use tools such as web search, weather, transit, flight and package lookups, image generation, your calendar and the Add-ons you connect.
Kai is in early, invitation-only access. Features may change, be added or be removed as the product develops.
3. Eligibility and your account
To use Kai:
- You must be at least 18 years old.
- You need an invitation, and your account is personal to you.
- Keep your sign-in methods secure. We recommend a passkey or an authenticator app.
- You're responsible for activity on your account, including actions your Agents take on your instructions.
- Tell us at [email protected] if you think someone else has accessed your account.
4. Your AI provider account
Kai works through an AI account you connect, either a Claude or ChatGPT subscription or an API key from Anthropic, OpenAI or OpenRouter. Your requests are sent to that provider under your account and count toward its limits and charges. You must follow that provider's terms and usage policies. We're not responsible for the provider's service, pricing or decisions about your account.
If you share your AI account with another Kai user, their requests use your account, and you're responsible for that use. You can stop sharing at any time.
5. Fees
Kai is currently free of charge. Your AI provider and any other connected services may charge you under your agreements with them. If we introduce paid plans, we'll tell you about the prices and terms in advance. You won't be charged unless you choose a paid plan.
6. Acceptable use
Don't use Kai, or ask your Agents, to:
- Break the law or infringe anyone's rights, including privacy and intellectual property.
- Harass, threaten, defraud or impersonate others, or create sexual content involving minors.
- Create or spread malware, spam or deceptive content, or attack, probe or overload any system or network.
- Get around Kai's security, approvals, rate limits or access controls, or access accounts or data without permission.
- Scrape, resell or sublicense Kai, or use it to build a competing service.
- Break the terms of your AI provider or of any service you connect.
7. Chats with other people
Kai lets you chat with other Kai users in direct and group chats, which are end-to-end encrypted, and in shared Agent channels. We have zero tolerance for objectionable content and abusive users. Don't send content that is hateful, harassing, threatening, sexually explicit, violent or spam, that encourages self-harm, or that exploits anyone, and don't abuse, bully or intimidate other people.
You can report a person or a message, and block anyone, from the chat and message menus in the apps. Blocked people can't message you or add you to groups, and their messages in groups you share are hidden for you. When you report a message from an end-to-end encrypted chat, we only see its text if you choose to include it.
We review reports promptly and act on them as quickly as we can. If someone breaks these rules, we may remove the content, restrict or close their account, or take other action. You can also report abuse to [email protected].
8. Agents and actions on your behalf
Depending on what you connect and allow, Agents can act for you. For example, they can send or change email and documents through Google, change Trello or Linear boards, create calendar events, run commands and change files on your Mac or on your own server, publish sites and share files. Some actions ask for your approval first, and you can choose to allow others automatically.
You decide what to connect and what to allow, and you're responsible for those actions and their results. Review actions before you approve them, grant only the access you need, and keep backups of important data. Sites you publish from your server are public by default.
9. AI output
Kai's answers are generated by AI models. They can be inaccurate, incomplete, out of date or offensive, even when they sound confident. Information from tools and third-party sources, such as flight prices, transit times or search results, may also be wrong or out of date, and prices are only indicative.
Kai doesn't provide medical, legal, financial, tax or other professional advice. Check important information, and use your own judgment or ask a qualified professional before you rely on an answer. You're responsible for how you use what Kai produces.
10. Your content
You keep ownership of what you put into Kai, such as messages, files and instructions, and of the output Kai produces for you, to the extent the law and your AI provider's terms allow. AI output may not be unique, and others may receive similar output.
You give us a limited, worldwide license to store, process, copy and transmit your content only as needed to provide Kai to you and to the people you share it with. This includes sending it to your AI provider and the services your Agents use. This license ends when you delete the content or your account, except for content that stays with other people as described in our Privacy Policy. We don't use your content to train AI models. Whether your AI provider does is governed by your agreement with it.
You must have the rights to the content you share. If you send us feedback, we may use it without any obligation to you.
11. Our rights
Kai, its software, design and brand belong to Kogniv and its licensors. We give you a personal, non-exclusive, non-transferable right to use Kai under these terms. Don't copy, modify, reverse engineer or distribute Kai except where the law allows it.
12. Third-party services
Kai connects to services we don't control, including AI providers, Google, Trello, Linear, GitHub, search engines and the travel, weather and price data sources described in our Privacy Policy. Your use of them is governed by their own terms. They may change, limit or stop working with Kai at any time, and we're not responsible for their content, availability or actions.
13. Availability and changes
We work to keep Kai reliable, but we can't promise it will always be available, uninterrupted or error-free. We may change, suspend or stop any part of Kai, for example for maintenance, security or product changes. If we plan to shut down Kai, we'll give you reasonable notice so you can export your data.
14. Ending your use
You can stop using Kai and delete your account at any time from your account page on kogniv.net.
We may suspend or close your account if you seriously or repeatedly break these terms, if your use puts other people, Kai or our providers at risk, or if the law requires it. Where it's reasonable, we'll tell you why first and give you a chance to fix the problem and export your data. When your account is closed, we delete your data as described in our Privacy Policy.
15. Disclaimers
Apart from the commitments in these terms, Kai is provided "as is" and "as available". To the extent the law allows, we make no other promises, including that Kai will be fit for a particular purpose or that its output will be accurate. If you're a consumer, this doesn't limit the rights you have under mandatory consumer law.
16. Limitation of liability
To the extent the law allows, we're not liable for indirect or consequential losses, such as lost profits, revenue, data or goodwill. We're also not liable for losses caused by your AI provider or other third-party services, or by actions you or your Agents take. Our total liability to you for all claims related to Kai is limited to the greater of the amount you paid us in the 12 months before the claim and EUR 100.
Nothing in these terms limits liability that can't be limited by law, including liability for intent or gross negligence, for death or personal injury caused by negligence, or under mandatory consumer law.
17. Changes to these terms
We may update these terms as Kai changes. We'll tell you about significant changes in the apps or by email at least 14 days before they take effect, unless a change is needed sooner for legal or security reasons. If you keep using Kai after a change takes effect, you accept the new terms. If you don't agree, you can delete your account.
18. Governing law and disputes
Danish law governs these terms, and disputes go to the Danish courts. If you're a consumer living in the EU, you also keep the protection of the mandatory laws of your country and may bring a claim in the courts where you live. Please contact us first. Most problems can be solved quickly by talking.
19. General
These terms and our Privacy Policy are the whole agreement between you and us about Kai. If any part of these terms can't be enforced, the rest still applies. If we don't enforce a right, we haven't waived it. You may not transfer your rights under these terms. We may transfer ours as part of a reorganization, merger or sale, and if we do, your rights stay the same.
